These General Terms and Conditions of Sale (T&C) govern the contractual relationship between MADRA, a simplified joint-stock company (SAS) with a share capital of €1,000, registered with the Paris Trade and Companies Register under SIREN number 990 410 391, with its registered office at 200 Rue de la Croix Nivert, 75015 Paris, France (hereinafter "the Provider") and any natural or legal person (hereinafter "the Client") subscribing to a website creation service via the website madra.io.
Any order implies unreserved acceptance of these Terms and Conditions.

Prices on the English version of madra.io are shown in US dollars (USD). They are final prices: the amount charged is the amount displayed, whatever the Client's country (see below for VAT). Three plans are available, each offered with monthly billing (no commitment, cancellable at any time) or annual billing (paid once for 12 months):
VAT. The displayed price includes French VAT at 20% for a Client established in France, and for a Client established in another European Union Member State who does not have a valid EU VAT number, as long as the Provider remains below the EU distance-selling threshold of €10,000. For a business Client established in another EU Member State who has a valid EU VAT number, no French VAT is due: VAT is accounted for by the Client under the reverse-charge mechanism (Article 196 of Directive 2006/112/EC). No French VAT is due from a Client established outside the European Union (Article 259-1 of the French Tax Code). The VAT number can be entered at checkout.
The Provider reserves the right to modify its prices at any time. The applicable prices are those in effect at the time of the order.
Orders are placed via the online form on madra.io. Payment is made online through the secure Stripe platform. The order is confirmed upon receipt of full payment.
Only card payments (Visa, Mastercard, American Express) are accepted.
The website is delivered in less than one business day from payment confirmation. This timeframe may vary depending on the complexity of the information provided.
The Client receives a preview link before the final publication of the website.
In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for contracts for the supply of digital content not provided on a tangible medium, the execution of which has begun with the prior express consent of the consumer.
By validating their order, the Client expressly agrees that the execution of the service begins immediately and waives their right of withdrawal.
However, Madra commits to making modifications until the Client is satisfied.
Content modifications (texts, images, section reorganization) are included in the subscription and completed within 24 business hours.
Complete redesigns (total change of design or architecture) are not covered by the subscription and will be subject to a separate quote.
No commitment. The Client may cancel at any time from their client area; cancellation takes effect at the end of the current monthly period.
The annual subscription is billed once at sign-up and covers a period of twelve (12) months. No early refund is possible except in cases of force majeure. At the end of the term, it renews for a further period of twelve (12) months unless the Client cancels before the term; the Client may also request to switch to monthly billing.
The Client remains the owner of all content provided (texts, images, logo) and all content generated for their website.
In the event of cancellation, the Client may request a complete export of their website (source code, images, content). Madra commits to providing this export within 7 business days.
Madra commits to implementing all necessary means to ensure the proper execution of the service. This constitutes an obligation of means.
Madra cannot be held liable for indirect damages related to the use of the created website (loss of customers, loss of revenue, etc.).

These Terms and Conditions are governed by French law. The service is intended for a professional clientele acting within the scope of their business activity. In the event of a dispute, the parties agree to seek an amicable solution; failing that, the competent courts shall be seized.
